These Terms & Conditions (“Terms”) apply to services provided by SpecWorks (“we”, “us”, “our”), including project review, supplier coordination, manufacturing management, quality control coordination, and shipping/delivery coordination. By engaging us, submitting a project, or proceeding with a quote/proposal, you agree to these Terms together with any proposal, scope, quote, statement of work, invoice, or written agreement we provide for the project.
1) Our services
SpecWorks acts as a project services provider facilitating manufacturing in China. We provide technical advisory, engineering review, supplier vetting, and production management. We do not own the manufacturing facilities but manage the relationship and quality control on your behalf to ensure production meets agreed specifications.
2) Quotes, estimates, and scope
All quotes are based on the drawings and data provided at the time of inquiry. Quotes are typically valid for 14 days due to fluctuations in raw material pricing and foreign exchange rates. Any changes to design, quantity, or material requirements after a quote is issued will require a re-quote and may affect lead times.
3) Your responsibilities
You are responsible for the accuracy and completeness of all technical information, drawings, and 3D models provided. You must notify us of any high-tolerance requirements or safety-critical dimensions. Delay in providing approvals or technical clarifications will result in production and delivery delays for which we are not liable.
4) Samples, approvals, and change control
Mass production will only commence after written approval of a sample or QC report. Any changes to the design after sample approval or during production (Revision Change) may incur additional costs for tooling, scrap material, and labor. SpecWorks follows a strict versioning process to ensure the correct drawing is on the factory floor.
5) Quality control and inspection
We perform quality inspections based on the agreed spec and tolerances. A QC evidence pack is provided before shipping. Acceptance of the QC report constitutes authorization to ship. While we strive for 100% compliance, tolerance deviations consistent with industrial standards for the manufacturing process used are not considered defects unless specific tighter tolerances were agreed upon in writing.
6) Delivery, delays, and risk
Lead times are estimates only. SpecWorks is not liable for delays caused by sea freight availability, port congestion, customs clearance, or Force Majeure events. Risk passes to you in accordance with the agreed Incoterm (e.g., DDP, CIF, or FOB). You should ensure appropriate insurance is in place for goods in transit.
7) Compliance-heavy and safety-critical items
If your project involves safety-critical components (e.g., structural metalwork, medical device parts), you must explicitly state the mandatory standards and testing required. SpecWorks acts as a facilitator and does not take responsibility for the overall design safety or regulatory compliance of your final product.
8) Australian Consumer Law (ACL)
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or replacement for major failures with goods.
9) Payment terms
Unless otherwise agreed in writing, standard project terms are a 50% deposit to commence work (including tooling) and 50% balance payment upon approval of the QC evidence pack but prior to sea/air freight dispatch. Ownership of goods passes only upon full payment of the final invoice. Late payments will result in shipping holds and potential storage fees.
10) Limitation of liability
To the maximum extent permitted by law, SpecWorks’ total liability for any claim under these Terms is limited to the total amount paid by you for the specific project or order giving rise to the claim. We are not liable for any indirect, consequential, or economic loss (including lost profit or downtime).
11) Intellectual property and confidentiality
You retain full ownership of all designs, drawings, and models provided. We agree to keep your technical data confidential and use it only for the purpose of fulfilling your project. SpecWorks retains ownership of its internal process IP, supplier network data, and management workflows.
12) Governing law
These Terms are governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria.
